Feedra ("Company," "we," "us," or "our") operates the Feedra software and related services (collectively, the "Services"). These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "user") and the Company. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all Terms, you must immediately discontinue use.


1. SERVICE OVERVIEW AND LICENSE

1.1 Description of Services

Feedra is a developer-first feedback management platform that collects user feedback through APIs, SDKs, and embeddable widgets, and converts it into GitHub issues. The software integrates with your existing GitHub workflow to streamline feedback collection and issue tracking. Feedra does not make decisions on your behalf. All conversions and actions require explicit user approval.

1.2 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Feedra for personal or internal business purposes. You may not sublicense, modify, reverse-engineer, distribute, or create derivative works based on the software without our express written permission.

1.3 Service Changes

We reserve the right to add, remove, modify, or suspend features at any time without prior notice. We do not guarantee uninterrupted service availability or error-free operation. We disclaim all liability for service interruptions, delays, errors, or data loss resulting from service modifications.

1.4 Beta Features

We may offer beta or experimental features that are provided "as is" with no warranties. Beta features may be unstable, incomplete, or subject to breaking changes without notice. By using beta features, you acknowledge that they may not function as intended and agree to provide feedback to help improve them.


2. ACCOUNTS AND USER RESPONSIBILITIES

2.1 Account Registration

You must provide accurate, complete, and current information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach.

2.2 GitHub Integration

To use Feedra's core functionality, you must connect your GitHub account using OAuth authentication. You grant Feedra permission to access your GitHub repositories, create issues, and read repository metadata as necessary to provide the Services. You are responsible for managing access permissions through GitHub's security settings.

2.3 User Representations

By using the Services, you affirm that:

  • You have the legal capacity to enter into these Terms and are at least 18 years old;
  • You will not use the Services for unlawful, fraudulent, or unethical purposes;
  • You comply with all applicable laws, regulations, and third-party terms;
  • You have the necessary rights and permissions to submit feedback data to the Services.

3. PAYMENT AND SUBSCRIPTIONS

3.1 Free and Paid Plans

Feedra offers both free and paid subscription plans. Free plans include limited functionality, including restricted feedback volume, repository limits, and basic features. Paid subscriptions unlock higher limits, advanced features, and priority support.

3.2 Billing and Renewal

By subscribing to a paid plan, you authorize us to charge your selected payment method on a recurring basis (monthly or annually) unless you cancel before the next billing cycle. All prices are stated in U.S. dollars and are subject to change with 30 days' advance notice. Price changes do not apply to your current billing period.

3.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, your access to paid features will remain active until the end of the current billing cycle. We do not offer prorated refunds for partial months or unused features. If you believe you were incorrectly charged, contact us within 30 days for review.

3.4 Payment Responsibility

You are responsible for ensuring that your payment information is accurate, current, and valid. Failed payments may result in suspension or termination of your account. We reserve the right to charge late fees or suspend access for unpaid accounts.


4. ACCEPTABLE USE POLICY

You agree not to:

  • Use the Services to violate any laws, regulations, or third-party rights;
  • Submit malicious code, viruses, or harmful content through feedback forms;
  • Attempt to interfere with, disrupt, or degrade the system's performance or security;
  • Reverse-engineer, decompile, or extract source code from the Services;
  • Automate access to the Services using bots, scrapers, or unauthorized scripts;
  • Resell, redistribute, or sublicense the Services without authorization;
  • Abuse rate limits, quotas, or API restrictions to circumvent fair usage policies;
  • Impersonate others or misrepresent your affiliation with any entity.

Violation of this policy may result in immediate termination of your account and legal action.


5. INTELLECTUAL PROPERTY

All intellectual property rights in the Services, including software, designs, trademarks, logos, and documentation, are owned by Feedra or its licensors. You retain ownership of any content, feedback data, or information you submit to the Services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display your content solely to operate and improve the Services.

We may use aggregated, anonymized data derived from your usage to improve our technology, develop new features, and conduct analytics. Aggregated data does not identify individual users or organizations.


6. THIRD-PARTY SERVICES

Feedra integrates with third-party services, including GitHub, cloud hosting providers, and analytics tools. Your interaction with these services is governed by their respective terms of service and privacy policies. We are not responsible for third-party content, APIs, availability, security breaches, or limitations imposed by external services. Outages or changes to third-party services may impact Feedra's functionality.


7. TERMINATION

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your license to use the software is immediately revoked, and your data may be deleted in accordance with our data retention policies. You may also terminate your account at any time by contacting support or using the account deletion feature. Termination does not relieve you of any outstanding payment obligations.


8. WARRANTY DISCLAIMER

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will meet your requirements, operate without interruption, be secure, or be error-free. You acknowledge that software may contain bugs, errors, or defects, and that results are not guaranteed. You are solely responsible for how you use the Services and any decisions made based on information provided by Feedra.


9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEEDRA, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for all claims arising out of or related to these Terms or the Services is limited to the amount you paid us in the six (6) months immediately preceding the event giving rise to liability. If you have not paid us anything, our total liability is limited to $100 USD.


10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Feedra, Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, expenses, and costs (including reasonable attorney's fees) arising out of or related to: (a) your use or misuse of the Services; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) your User Content.

These Terms of Service form the entire agreement between you and Feedra regarding your use of the Services. By continuing to use Feedra, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
